Cyquins Terms of Use

These Terms of Use ("Terms") govern access to and use of the Cyquins web application and related services (collectively, the "Service") made available by HDI Global SE and its affiliates ("HDI", "we", "us"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Broker" means an insurance broker or intermediary authorised by HDI to invite clients to use the Service.
- "Client" means an organisation or person invited to complete a cybersecurity assessment through the Service.
- "User" means any person who accesses the Service, including brokers, clients, and administrators.
- "Scan" means a read-only security assessment of cloud or Microsoft 365 environments performed via the Service.
- "Assessment Data" means information submitted through questionnaires, scan results, scores, and related outputs generated by the Service.
2. Scope of the Service
Cyquins is a technology platform for cyber insurance underwriting and risk assessment. The Service may include security questionnaires, configuration of cloud provider credentials, execution of non-intrusive scans (including AWS, Azure, Google Cloud, and Microsoft 365), HDI scoring, reporting, and related broker or client workflows. The Service does not guarantee insurance coverage, specific premiums, or underwriting outcomes.
3. Eligibility and Accounts
You must be authorised to use the Service. Brokers and administrators access the Service through credentials issued by HDI. Clients may access the Service via invitation, magic link, or authentication code as configured by HDI or the inviting broker. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
4. Permitted Use
You agree to use the Service only for lawful business purposes related to cyber risk assessment and insurance processes supported by HDI. You must not:
- Use the Service in violation of applicable law or regulatory requirements;
- Attempt to gain unauthorised access to the Service, other accounts, or underlying systems;
- Interfere with or disrupt the integrity or performance of the Service;
- Upload malicious code or false information;
- Reverse engineer or copy the Service except as permitted by mandatory law;
- Use the Service to assess environments you are not authorised to assess.
5. Cloud Credentials and Scans
Where you provide cloud or Microsoft 365 credentials, you represent that you have authority to grant read-only access for scanning purposes. Scans are designed to be non-intrusive and read-only; however, you remain responsible for your environments and for reviewing permissions granted. HDI does not guarantee detection of all vulnerabilities or compliance with any standard. Scan results are informational and may inform underwriting but are not a substitute for professional security advice.
6. Data and Privacy
Personal and organisational data processed through the Service is handled in accordance with applicable data protection law and HDI's privacy notices. You are responsible for providing any required notices to your personnel and for the lawfulness of data you submit.
7. Intellectual Property
The Service, including software, branding, documentation, and content provided by HDI (excluding your data and third-party materials), is owned by HDI or its licensors and protected by intellectual property laws. No rights are granted except as necessary to use the Service in accordance with these Terms.
8. Assessment Data and Licence
You retain ownership of data you submit. You grant HDI and its service providers a licence to use, store, process, and display Assessment Data as necessary to operate the Service, provide underwriting support, improve security features, and comply with legal obligations. Brokers may access Client Assessment Data as permitted by their relationship with HDI and the Client.
9. Confidentiality
Non-public information made available through the Service should be treated as confidential by Users to the extent required for their role, subject to applicable law and professional duties.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, HDI DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF SCAN OR SCORE RESULTS. HDI DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HDI AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE. HDI'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM THE SERVICE SHALL NOT EXCEED ONE HUNDRED EUROS (EUR 100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW (INCLUDING LIABILITY FOR DEATH, PERSONAL INJURY, OR FRAUD).
12. Indemnification
You agree to indemnify and hold harmless HDI and its affiliates from claims arising out of your misuse of the Service, unauthorised assessments, breach of these Terms, or violation of third-party rights, except to the extent caused by HDI's intentional misconduct.
13. Suspension and Termination
HDI may suspend or terminate access to the Service for security reasons, breach of these Terms, or as required by law. Upon termination, your right to use the Service ends; provisions that by nature should survive will remain in effect.
14. Changes to the Service and Terms
HDI may modify the Service or these Terms. Material changes will be indicated by updating the date above or through the Service. Continued use after changes become effective constitutes acceptance where permitted by law.
15. Third-Party Services
The Service may integrate with third-party cloud providers, security tools (including Prowler technology), or communication services. Your use of third-party services is subject to their terms; HDI is not responsible for third-party services outside its reasonable control.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules. The courts of Hannover, Germany, shall have exclusive jurisdiction where permitted, without prejudice to mandatory consumer protections.
